Welcome to the Solligence platform. These Terms & Conditions (“Terms”) govern your access to and use of the platform at https://www.solligence.com and its sub-domains (referred to as the "Platform") operated by **Solligence Digital Solutions LLP** (“Solligence”, “we”, “us”, or “our”).
Please read these Terms carefully. By accessing, browsing, or using the Platform, or by registering for our programs, courses, or bootcamps, you agree to be bound by these Terms together with our Privacy Policy. These Terms constitute an electronic record within the meaning of the Information Technology Act, 2000 and the rules made thereunder, and are generated by a computer system. They do not require any physical or digital signature and are published in accordance with Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.
01. Platform Eligibility
Our Platform is intended for working professionals aged 18 years and above who are competent to contract under Section 11 of the Indian Contract Act, 1872. By using the Platform, you confirm that you meet this requirement and have the legal capacity to enter into a binding agreement. If you are accessing the Platform on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
For users accessing the Platform as consumers, these Terms are read together with the rights available to you under the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020. Nothing in these Terms shall be construed to waive or limit any non-excludable statutory right available to a consumer under Indian law.
02. Professional Conduct & Community Guidelines
To maintain a productive learning environment, all participants and members must engage respectfully. We reserve the absolute right to suspend, terminate, or remove any member or student from the cohort, Slack/Discord channels, and Platform who engages in harassment, spam, hate speech, sharing of pirated course materials, or any unlawful, disruptive, or unprofessional behavior — without refund.
03. Payments & Transactions
Payments for all cohorts, including the **Solligence Applied AI Systems Cohort**, are processed via secure third-party payment gateways (such as Razorpay) regulated by the Reserve Bank of India (RBI). We do not store or process your full payment card details or net banking credentials on our servers. By making a payment, you authorize the third-party payment gateway to process your transaction in accordance with its service terms.
04. Cancellation & Refund Policy
In compliance with Rule 6(5) of the Consumer Protection (E-Commerce) Rules, 2020, refunds will be effected in the same form as the original payment within reasonable timelines. Program fee eligibility is defined as follows:
- Paid Live Cohorts & Bootcamps: You may cancel and request a full refund within seven (7) days of making your payment, provided that no more than twenty-five percent (25%) of the scheduled live sessions have commenced and you have not downloaded or accessed gated proprietary materials (slide decks, frameworks, repository code, or recordings).
- Non-Refundable Threshold: After the 7-day window or once 25% of the scheduled program sessions have been delivered, program fees become 100% non-refundable. Exception: if we cancel or materially curtail the program, we will issue a pro-rata refund for the uncompleted portion.
- Digital Products: Self-paced digital products, recorded lectures, templates, ebooks, and other instant download materials are non-refundable, consistent with your right to be informed of the refund policy prior to checkout.
- Free Sessions & Events: Registration for free webinars, masterclasses, and community trials carries no fee and is therefore non-refundable.
- Duplicate Payments: Duplicate or accidental double transactions will be refunded in full within seven (7) business days of verification.
To request a refund, please email us at latha@solligence.com from your registered email address with your order reference, payment invoice, payment transaction ID, and reason for refund. We will acknowledge receipt of your request within forty-eight (48) hours and communicate our decision within seven (7) business days. Approved refunds are credited to the original payment instrument within seven (7) to fourteen (14) business days, subject to the payment gateway's settlement timelines.
If we cancel a program before it begins, you will receive a full refund. If we cancel after a program has begun for reasons attributable to us (and not due to your conduct or force majeure), you will receive a pro-rata refund for sessions not delivered. We may, at our option, offer credit toward a future cohort in lieu of a cash refund, subject to your acceptance.
05. Intellectual Property & Usage License
Subject to your continued compliance with these Terms and full payment of all applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Solligence IP and learning materials solely for your own personal, internal, non-commercial learning. This licence does not permit any use by your employer, clients, students, or any third party.
Any unauthorized reproduction, modification, translation, redistribution, commercial teaching, or resale of our proprietary frameworks, scripts, or curriculum is strictly prohibited.
06. B2B Enterprise Services
For corporate training, advisory services, and enterprise B2B engagements, these Terms apply in addition to, and are supplemented by, the specific Statement of Work (SOW), Master Services Agreement (MSA), or B2B contract executed with the client. In the event of any conflict, the terms of the executed B2B agreement shall prevail.
07. User Content & Prohibited Information
In accordance with Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, you shall not host, display, upload, modify, publish, transmit, store, update or share any information that:
- belongs to another person and to which you have no right;
- is defamatory, obscene, pornographic, paedophilic, invasive of another's privacy, insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, or encouraging money laundering or gambling;
- is harmful to children;
- infringes any patent, trademark, copyright, trade secret, or other proprietary rights;
- deceives or misleads the addressee about the origin of the message or communicates any misinformation or patently false information;
- impersonates another person;
- threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order;
- contains software viruses or malicious computer code;
- is patently false and untrue, written or published with the intent to mislead or harass a person or entity for financial gain.
08. Monitoring & Security Enforcement
We may, where lawful, monitor the use of the Platform and our code repositories (including via watermarking, telemetry, and per-participant content tagging) to detect unauthorized sharing or commercial piracy. Violations will result in immediate suspension or termination of your account without refund, removal of content, revocation of certificates, public takedown notices to hosting providers, recovery of fees and damages, and civil and criminal legal action under the Indian Penal Code, 1860 / Bharatiya Nyaya Sanhita, 2023, the Information Technology Act, 2000, and the Copyright Act, 1957.
09. Injunctive Relief & Pre-estimate Damages
You acknowledge that breach of the Intellectual Property, Proprietary Frameworks, Confidentiality, or B2B Advisory sections of these Terms would cause irreparable harm to Solligence for which monetary damages would be inadequate, and you agree that we shall be entitled to seek immediate injunctive and equitable relief under Order XXXIX of the Code of Civil Procedure, 1908 and/or Sections 38–42 of the Specific Relief Act, 1963, in any court of competent jurisdiction.
Without limiting the foregoing, in the event of any commercial misuse, redistribution, or unauthorized teaching of our Proprietary Frameworks, you agree that a genuine pre-estimate of minimum liquidated damages is INR 10,00,000 per incident or three (3) times the revenue you derived from such misuse, whichever is higher, in addition to our reasonable legal costs. The parties agree this represents a genuine pre-estimate of loss and not a penalty within the meaning of Section 74 of the Indian Contract Act, 1872.
10. Third Party Integrations
The Platform integrates with third-party services such as Firestore, EmailJS, Razorpay, and Google Accounts. Your use of these integrated services is subject to their respective terms of service and privacy policies.
11. Limitation of Liability
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to these Terms or your use of the Platform shall not exceed the amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.
12. Termination & Dispute Resolution
You may request account closure at any time by contacting us at latha@solligence.com. Closure does not entitle you to a refund of any fees already paid. We may suspend or terminate your access to the Platform at our discretion if you breach these Terms or engage in conduct that we reasonably believe is harmful.
These Terms are governed by and construed in accordance with the laws of the Republic of India. Subject to the arbitration clause below, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute.
Any dispute, controversy, or claim arising out of or relating to these Terms, including its existence, validity, interpretation, performance, breach, or termination, shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed by Solligence. The seat and venue of arbitration shall be Bengaluru, Karnataka. The language of arbitration shall be English.
13. Miscellaneous Provisions
If any provision of these Terms is held invalid or unenforceable under applicable Indian law, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.
Grievances regarding Platform content, copyright violations, or user conduct should be sent to the Grievance Officer at latha@solligence.com. We will acknowledge grievances within twenty-four (24) hours and seek resolution within fifteen (15) days.
